Terms of Service

These Terms of Service (“Terms”) govern your use of the onlineroad.com.au website and the services provided by Online Road Pty Ltd (ABN 65 628 459 709) (“Online Road”, “we”, “us” or “our”). By using our website or engaging our services, you agree to these Terms. Specific engagements are also governed by the proposal or agreement we provide, which prevails if there is any inconsistency.

Our services

Online Road provides digital marketing services, which may include search engine optimisation (SEO), AI search optimisation, Google Ads, Meta and social advertising, web design and related services. The scope, deliverables and fees for each engagement are set out in the proposal or agreement we provide to you.

Engagement and fees

Fees are set out in your proposal and are based on the scope of work agreed. Our ongoing management services carry a 90-day minimum term, after which they continue on a month to month basis until cancelled with reasonable notice. Fees are payable in advance unless otherwise agreed, and are exclusive of GST unless stated.

For advertising services, media spend is separate from our management fees and, where possible, is paid through your own advertising accounts so it remains yours.

No guarantee of specific results

We bring proven strategy, experience and effort to every engagement, and we report transparently on performance. However, search engines and advertising platforms control their own algorithms and policies, so no agency can honestly guarantee specific rankings, traffic, leads or revenue. Any timeframes or outcomes we discuss are estimates based on experience, not guarantees.

Your responsibilities

To deliver our services effectively, we may need timely access to your website, advertising and analytics accounts, brand assets and approvals. You are responsible for ensuring the information, content and materials you provide are accurate and that you have the rights to use them.

Intellectual property

Unless otherwise agreed in writing, deliverables we create specifically for you become yours once we have received full payment for the relevant work. We retain ownership of our own tools, templates, methods, know-how and any pre-existing materials. You grant us a licence to use the content, trademarks and materials you provide for the purpose of delivering the services, and you may grant us permission to reference your business and results as a case study.

Confidentiality

Each party will keep the other party's confidential information secure and use it only for the purpose of the engagement, except where disclosure is required by law.

Third-party platforms

Our services rely on third-party platforms such as Google, Meta and others, each governed by their own terms and policies. We are not responsible for changes, outages, account suspensions or decisions made by these platforms that are outside our reasonable control.

Limitation of liability

To the maximum extent permitted by law, and subject to any rights you have under the Australian Consumer Law that cannot be excluded, our total liability arising out of or in connection with our services is limited to the fees paid by you for the services in the three months before the relevant claim. We are not liable for indirect or consequential loss, including loss of profits, revenue or data.

Termination

Either party may end an ongoing engagement after the initial minimum term by giving reasonable written notice, as set out in your agreement. Fees for work performed or committed up to the end of the notice period remain payable. We may suspend or end services if fees are overdue or if these Terms are breached.

Use of this website

The content on this website is provided for general information only and may change without notice. You may not misuse the website, attempt to gain unauthorised access, or use its content for unlawful purposes. All content on this website, unless otherwise stated, is owned by or licensed to Online Road.

Governing law

These Terms are governed by the laws of New South Wales, Australia, and you submit to the non-exclusive jurisdiction of the courts of that state.

Changes to these Terms

We may update these Terms from time to time. The current version will always be available on this page, with the date it was last updated shown above.
